1. About these Terms
These Terms of Use govern your access to and use of the website at Bitgatewaytech.com and its sub-domains (the “Website”), and any communications, marketing materials, or pre-contractual information made available through the Website.
By accessing or using the Website, you agree to these Terms. If you do not agree, do not use the Website.
Service contracts. These Terms govern use of the Website only. Use of any Bitgateway product or service is governed by a separate Customer Agreement (or Master Services Agreement for institutional licensees), which you must accept before using the relevant service. Where a Customer Agreement conflicts with these Terms, the Customer Agreement prevails for service-related matters. Nothing on the Website constitutes a contractual offer to provide any service.

2. Eligibility and Acceptable Use
You may use the Website only if you are at least 18 years old and have legal capacity to enter into a binding agreement. You agree to provide accurate information when contacting us or registering for any communication, and you are responsible for keeping any credentials we issue confidential.
You agree not to:
- Use the Website in breach of any UK or applicable foreign law;
- Attempt to gain unauthorised access to the Website, our systems, or any associated systems;
- Reverse-engineer, decompile, scrape, or extract source code from the Website or any software made available through it, except to the extent permitted by mandatory law;
- Interfere with the operation of the Website (denial-of-service, malware, automated tools, or excessive load);
- Transmit through the Website any harmful, defamatory, infringing, or unlawful content;
- Misrepresent your identity, affiliation, or authority;
- Use the Website to send unsolicited communications or in connection with any unlawful, fraudulent, or sanctioned activity.

- No advice. Nothing on the Website constitutes financial, legal, tax, regulatory, accounting, or investment advice. You should obtain your own professional advice before making any decision.

4. Crypto asset and Stablecoin Risk Disclosures
Crypto assets, including stablecoins, involve significant risk. Don’t engage with crypto assets unless you are prepared to lose all the value involved. Crypto asset activities are high-risk and you are unlikely to be protected if something goes wrong.
Specific risks include:
- Volatility. Crypto asset prices can move sharply over short periods.
- Stablecoin de-pegging. Stablecoins are intended to maintain a stable value but may lose their peg, become illiquid, or be exposed to operational, custodial, or solvency risk of the issuer or its reserve assets.
- Operational and technological risk. Blockchain transactions are generally irreversible. Loss of private keys, transaction errors, smart-contract failures, or chain reorganisations may result in permanent loss.
- Regulatory risk. The legal and regulatory treatment of Crypto assets is evolving. Future changes may affect your ability to access or continue to use services.
- No FSCS protection. Crypto asset activities are generally not covered by the UK Financial Services Compensation Scheme.
- Limited Ombudsman access. The Financial Ombudsman Service does not generally have jurisdiction over disputes relating to unregulated Crypto asset activities.
Financial promotions. These Terms are not a financial promotion. Where we communicate financial promotions of Crypto assets to UK consumers, we will do so only in accordance with the FCA’s Crypto asset Financial Promotions Regime, including any applicable approval, prescribed risk warning, cooling-off, and personalised risk warning requirements.
5. Intellectual Property
All content on the Website (including text, graphics, logos, software, branding, and the Bitgateway name and marks) is owned by Bitgateway or its licensors and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to access the Website for your own non-commercial information purposes only.
You must not reproduce, redistribute, modify, publish, frame, mirror, or create derivative works from any content without our prior written consent. Use of our name and marks in any commercial context (including in advertising, partnerships, or press) requires our prior written consent.
Feedback. If you send us feedback or suggestions about the Website or our services, you grant us a perpetual, worldwide, royalty-free licence to use them without obligation or compensation to you.
6. Restricted Jurisdictions and Persons
The Website and our services are not directed at, and may not be accessed or used by, any of the following:
- Persons in countries or territories subject to UK, UN, EU, or US sanctions, including (without limitation) Russia, Belarus, Iran, North Korea, Syria, Cuba, and the non-government-controlled regions of Ukraine;
- Persons whose use would breach applicable law in their jurisdiction or any law applicable to us;
- Persons listed on, or owned or controlled by persons listed on, any applicable sanctions list;
If you access the Website from outside the United Kingdom, you do so on your own initiative and are responsible for compliance with local law. We may restrict access by IP, geolocation, or other means at our discretion.
7. Privacy and Cookies
Our handling of personal data is described in our Privacy Policy, and our use of cookies in our Cookie Policy. By using the Website you acknowledge those policies.
8. Disclaimers and Liability
Nothing in these Terms limits or excludes our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot lawfully be excluded or limited. If you are a consumer, your statutory rights are not affected.
Subject to the above:
- “As is”. The Website is provided “as is” and “as available”. We make no warranties (express or implied), including warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, or uninterrupted availability.
- Excluded losses. We are not liable for any indirect, consequential, or special losses, or for loss of profits, business, revenue, anticipated savings, data, or goodwill arising from or in connection with your use of the Website.
- Liability cap. Our total aggregate liability arising from or in connection with your use of the Website is limited to £1000.
Service-related liability is governed by the relevant Customer Agreement, not by these Terms.
9. Indemnity
You agree to indemnify Bitgateway, its affiliates, and their respective officers, employees, and agents against all claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising from your breach of these Terms, your unlawful or unauthorised use of the Website, or your infringement of any third-party right.
10. Changes and Termination
We may update these Terms at any time. The current version is shown by the version number and effective date at the top of this document. We will give notice of material changes by a prominent notice on the Website at least 30 days before they take effect, except where applicable law requires sooner. Continued use of the Website after the effective date of changes constitutes acceptance.
We may suspend, restrict, or terminate your access to the Website at any time, with or without notice, if you breach these Terms or for legitimate operational, security, legal, or regulatory reasons.
11. Governing Law, Jurisdiction, and Complaints
These Terms and any non-contractual obligations arising out of or in connection with them are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, save that we may bring proceedings in any country in which you are resident, do business, or have assets.

Where you are a consumer of any FCA-regulated activity we provide, the Financial Ombudsman Service (financial-ombudsman.org.uk) may have jurisdiction over your complaint. The Ombudsman does not generally have jurisdiction over unregulated Crypto asset activities.
12. General Provisions
- Entire agreement. These Terms (together with the Privacy Policy and Cookie Policy) are the entire agreement between you and Bitgateway in relation to use of the Website.
- Assignment. You may not assign or transfer these Terms. We may assign them to a successor in connection with a merger, sale, or restructuring.
- Severability. If any provision is held unenforceable, the remainder continues in full force.
- No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.
- Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control, including acts of God, war, sanctions, regulatory action, infrastructure failures, blockchain network failures, or labour disputes.
- Third-party rights. A person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce them.
- No partnership. These Terms do not create any partnership, agency, joint venture, or employment relationship.
- Notices. Notices to us must be sent to contact@bitgatewaytech.com and are effective on receipt.
